By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Imagini Health provides AI-assisted diagnostic imaging software and related tools intended to support veterinary professionals and pet owners. The Service is intended to augment, not replace, professional veterinary judgment.

The Service and any outputs it generates are provided for informational and decision-support purposes only. They do not constitute veterinary, medical, or professional advice, diagnosis, or treatment, and must not be relied upon as the sole basis for any clinical decision. All diagnostic and treatment decisions remain the sole responsibility of a qualified, licensed veterinary professional exercising independent judgment. If an animal’s condition is urgent, seek immediate care from a licensed veterinarian.

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.

When you create an account, you must provide information that is accurate, complete, and current. Failure to do so constitutes a breach of these Terms. You are responsible for safeguarding your credentials and for all activities that occur under your account. Two-factor authentication (2FA) may be required to access certain features. You must notify us immediately of any unauthorized use of your account or any other breach of security.

You agree not to:

• use the Service in violation of any applicable law or regulation;
• attempt to gain unauthorized access to the Service, other accounts, or our systems or networks;
• interfere with, disrupt, or impose an unreasonable load on the Service or its infrastructure;
• reverse engineer, decompile, or attempt to extract the source code or underlying models of the Service, except to the extent permitted by law;
• upload or transmit malware, or any content that is unlawful, infringing, or harmful; or
• use the Service to develop a competing product or service.

The Service and its original content, features, and functionality are and will remain the exclusive property of Imagini Health Corporation and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

You retain ownership of any data, images, or other content you submit to the Service (“Your Content”). You grant us a limited, non-exclusive license to host, process, and use Your Content solely to provide and improve the Service, consistent with our Privacy Policy. You are responsible for ensuring you have the rights necessary to submit Your Content.

The Service may integrate with or link to third-party services and websites that we do not control. We are not responsible for the content, policies, or practices of any third party. Your use of third-party services is governed by their own terms and policies.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY OUTPUT WILL BE ACCURATE OR COMPLETE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL Imagini Health Corporation, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

You agree to indemnify and hold harmless Imagini Health Corporationand its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, Your Content, or your violation of these Terms.

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including if we believe you have violated these Terms. Upon termination, your right to use the Service will immediately cease. Sections that by their nature should survive termination will survive.

We may modify these Terms from time to time. If we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming, and you consent to personal jurisdiction in those courts.
